Business audience. Niatel primarily supplies products and services to legal entities (B2B). The Website is informational and not a consumer e-commerce portal. Where consumer law would otherwise apply, nothing here limits mandatory rights that cannot be excluded.

1) Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of Niatel’s website, content, and any information, quotations, downloadable materials, or contact channels provided through it (collectively, the “Website”). By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

2) Services & Website Content

Informational only. Content on the Website (including brochures, datasheets, case studies, price indications, availability notes, white papers, and blog posts) is provided for general informational purposes and does not constitute a binding offer, professional advice, or a guarantee of performance.

No automatic contracts. Sales, rentals, maintenance, and consulting services (“Commercial Services”) are provided only under separate written contracts or accepted quotations between Niatel and a customer. Any terms on the Website are non-binding until incorporated into such a contract or Purchase Order.

Updates. We may amend, remove, or update Website content at any time without notice.

3) Eligibility & Authority

By using the Website, you confirm that you are at least the age of majority in your jurisdiction and, if acting for a company, have authority to bind that company to these Terms.

4) Acceptable Use

You agree not to:

use the Website in violation of applicable laws or regulations;
probe, scan, or test the vulnerability of any system or network;
interfere with, disrupt, or attempt to circumvent security or access controls;
upload or transmit malware or harmful code;
copy, scrape, or harvest Website content at scale for competitive or commercial purposes without written permission.

Security. To protect our contact forms against abuse, the Website uses Google reCAPTCHA. Use of reCAPTCHA is subject to the Google Privacy Policy and Terms of Service.

Termination of access. If your right to use the Website is suspended or terminated, you must immediately stop using the Website and destroy any copies of materials obtained through it that remain in your possession or control.

We may suspend or restrict access if we reasonably suspect a breach of this section.

5) Intellectual Property

Ownership. The Website and its content (text, designs, logos, graphics, icons, images, code, downloads, and compilations) are owned by Niatel or its licensors and are protected by copyright, trademark, and other laws.

Limited license. Subject to these Terms, Niatel grants you a limited, revocable, non-exclusive, non-transferable license to access and view the Website for your internal business purposes.

Restrictions. Except as permitted by mandatory law, you may not reproduce, distribute, publicly display, modify, translate, create derivative works from, or exploit the Website or its content without our prior written consent.

Feedback. If you send us suggestions or feedback, you grant Niatel a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate them without restriction.

Logos and trademarks. The Niatel name and logo are our exclusive property. Logos of our partners or suppliers displayed on the Website remain the property of their respective owners. Any unauthorized use, reproduction, or misuse of these marks is strictly prohibited.

6) Third-Party Links & Tools

The Website may link to third-party websites, software, or resources. We do not endorse or control these resources and are not responsible for their content, accuracy, or availability. Your use of third-party resources is at your own risk and may be governed by their terms.

Maps. Our Contact page may embed Google Maps to display our office location. Google may process data through this service in accordance with its own Privacy Policy.

7) Privacy & Cookies

Your use of the Website may involve processing personal data (e.g., via contact forms). Such processing is governed by our Privacy Policy and Cookie Policy. Niatel complies with the Law on Protection of Personal Data of Bosnia and Herzegovina and—where applicable due to targeting or monitoring of EU residents—applies GDPR-aligned practices. We will update our notices if successor legislation enters into force.

Analytics. We may use cookieless, aggregated analytics tools to measure Website performance and reliability. These analytics do not identify individual users or set tracking cookies.

8) Disclaimers

Website “as is”. The Website is provided “as is” and “as available.” To the fullest extent permitted by law, Niatel disclaims all warranties, whether express, implied, or statutory, including warranties of accuracy, non-infringement, merchantability, fitness for a particular purpose, and availability.

Information accuracy. We strive for accuracy but do not warrant that content is complete, current, error-free, or suitable for your specific use. Technical and commercial information (including specifications, compatibilities, and indicative pricing) may change without notice.

No professional advice. Materials on the Website do not constitute engineering, legal, tax, or other professional advice; decisions should be based on your independent assessment and written agreements with Niatel.

Viruses and availability. We take reasonable steps to secure the Website, but we do not guarantee it will always be free of malware, viruses, or technical issues. You are responsible for using appropriate antivirus protections before downloading materials. We do not warrant uninterrupted, error-free operation.

9) Limitation of Liability

To the maximum extent permitted by applicable law, Niatel, its affiliates, employees, and partners shall not be liable under any circumstances for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profit, revenue, goodwill, data, or business opportunity, arising out of or in connection with your use of the Website or reliance on any content.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability for fraud, intentional misconduct, or mandatory rights provided under applicable law.

10) Indemnity (B2B)

If you are acting on behalf of a business, you agree to indemnify, defend, and hold harmless Niatel and its affiliates, officers, employees, and agents from and against all third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (i) your breach of these Terms, (ii) your unlawful use of the Website, or (iii) your violation of third-party rights.

11) Export Controls & Sanctions

You must not use the Website to request or obtain goods, software, or services in violation of applicable export control or sanctions regimes (including, where applicable, EU, UN, UK, and U.S. measures). You represent that you are not located in, under the control of, or a national/resident of any country or party subject to comprehensive sanctions.

12) Electronic Communications; Notices

By contacting us through forms or email, you consent to receive communications electronically. We may provide notices by posting on the Website or by email to the address you provided. For legal notices to Niatel, write to info@niatel.ba and to our postal address with the subject “Legal Notice”.

Newsletter. If you subscribe to our newsletter, you agree to receive occasional updates and marketing communications from Niatel. You can unsubscribe at any time by clicking the link in any newsletter email or by contacting us directly. Subscription is voluntary and requires your consent, as described in our Privacy Policy.

13) Changes to the Terms

We may revise these Terms at any time. The Effective Date above shows when they were last updated. Material changes will be signposted on the Website. Your continued use after changes means you accept the updated Terms.

14) Governing Law & Jurisdiction

These Terms and any non-contractual obligations arise under the laws of Bosnia and Herzegovina and, where relevant for private-law matters, the laws of the Federation of Bosnia and Herzegovina. Courts in Sarajevo shall have exclusive jurisdiction, without prejudice to mandatory protections that cannot be derogated from.

15) Force Majeure

Niatel shall not be liable for any failure or delay due to events beyond its reasonable control, including natural disasters, war, strikes, labor or supply issues, utility or internet outages, governmental actions, or failures of third-party providers.

16) Relationship to Commercial Contracts

If you enter into a separate written agreement with Niatel for Commercial Services (e.g., supply, rental, maintenance, SLA), that agreement prevails over these Terms in case of conflict. These Terms govern Website use only.

17) Miscellaneous

Severability. If any provision is invalid or unenforceable, it will be enforced to the maximum extent permitted; the remainder continues in effect.

No waiver. A failure to enforce any right is not a waiver of future enforcement.

Assignment. You may not assign or transfer your rights or obligations under these Terms without Niatel’s prior written consent; Niatel may assign to an affiliate or in connection with a merger, acquisition, or asset transfer.

Entire agreement. These Terms constitute the entire agreement between you and Niatel regarding Website use and supersede prior or contemporaneous understandings regarding the Website.

Language. We may publish these Terms in Bosnian and English. In case of inconsistency, the Bosnian version prevails.
